1. GENERAL PROVISIONS

1.1. This document constitutes a public offer by LearnDo OÜ, an Estonian private limited company (osaühing), registration code 16818398, registered in the Estonian Commercial Register, registered address: Harju maakond, Tallinn, Mustamäe linnaosa, Kadaka tee 42b, 12915, Estonia, VAT ID EE103013266 (the Seller), and sets out the conditions for entering into and performing contracts for the provision of digital styling guides through the Website (the Terms).

1.2. The Seller expressly intends to be bound by this Offer upon its Acceptance by the Buyer in accordance with these Terms.

1.3. These Terms form an integral part of every Contract concluded through the Website.

1.4. The Buyer must read these Terms before Acceptance. Acceptance means the Buyer's full and unconditional acceptance of the version in force when the Contract is concluded.

1.5. These Terms do not restrict mandatory Consumer rights under applicable law.

2. TERMS AND DEFINITIONS

2.1. Seller means LearnDo OÜ, the party to the Contract, recipient of payment and entity obliged to provide the purchased Guide.

2.2. Buyer means a natural or legal person placing an Order and entering into a Contract with the Seller.

2.3. Consumer means a Buyer who is a natural person entering into the Contract for purposes unrelated to their business or professional activity.

2.4. Author means Veranika Kalinouskaya, the author of the Guides and creator of their styling concept. The Author is not the Seller or a party to the Contract and does not assume the Seller's obligations towards the Buyer.

2.5. Website means the Seller's website at https://www.stylebyveronica.com, including Order and payment pages.

2.6. Guide means a completed digital styling product in PDF and/or another digital format expressly stated on the Website, containing styling selections, images, outfits, recommendations, links, alternatives and other materials to the extent described for the relevant product.

2.7. Digital Content means the Guide and other digital materials that are the subject of a particular Contract.

2.8. Order means the Buyer's declaration through the Website of an intention to purchase the selected Guide.

2.9. Offer means these Terms as the Seller's proposal to enter into a Contract on the conditions set out herein.

2.10. Acceptance means the Buyer's actions comprising completion of the mandatory Order information, acceptance of the mandatory ordering conditions and successful payment for the selected Guide.

2.11. Contract means the contract for providing Digital Content entered into between the Seller and Buyer through Acceptance of the Offer.

2.12. Third-Party Store means an independent seller of clothing, footwear, accessories or other goods whose website may be linked from the Guide.

2.14. Illustrative Materials means images and other materials on the Website expressly labelled as examples that do not represent actual pages or products of a particular Guide.

2.15. Priority Status means the status of a Buyer who previously purchased a Guide, granting participation rights in the current priority-access programme under section 14 of these Terms.

2.16. Parties means the Seller and Buyer together; Party means either of them individually.

3. SUBJECT MATTER OF THE CONTRACT

3.1. The subject of the Contract is the Guide selected by the Buyer in the version and composition stated on the Website at the time of Acceptance.

3.2. Under the Contract, the Seller undertakes to provide Digital Content and the right to use it within the scope of these Terms, and the Buyer undertakes to pay the stated price.

3.3. The specific contents, topic, format, principal characteristics and price of the Guide are determined by its description on the Website at the time of Acceptance.

3.4. Physical goods shown or mentioned in the Guide are not the subject of the Contract and are not sold by the Seller under the Contract.

3.5. The Guide is completed Digital Content, not a contract for personal styling services.

4. AUTHOR AND PRODUCT SCOPE

4.1. The Author creates the Guides and their styling concept. All contractual obligations towards the Buyer arise exclusively for the Seller.

4.2. Unless expressly stated otherwise in the description of a particular Guide, purchasing it does not include:

• a personal consultation with the Author or another stylist;

• an individual review of the Buyer's wardrobe;

• individual selection of items or outfits;

• searching for new products at the Buyer's request;

• personally sourcing replacements for products or sizes unavailable at a Third-Party Store;

• modifying, supplementing or revising the Guide for a particular Buyer;

• answers to individual styling questions;

• any other personal support after the Guide is provided.

4.3. The contents of the version provided to the Buyer constitute the full scope of the purchased Digital Content.

4.4. The Buyer may not require the Seller or Author to carry out individual work not included in the description of the purchased Guide.

4.5. This section does not limit the Consumer's rights under applicable law concerning failure to provide Digital Content or its lack of conformity with the Contract.

5. CONCLUDING THE CONTRACT

5.1. To conclude the Contract, the Buyer selects a Guide, places an Order, supplies the information requested by the Website and proceeds to payment.

5.2. Before submitting the Order, the Buyer can review the entered information and correct errors.

5.3. Immediately before submitting the Order, the Buyer is provided with information about the Guide's main characteristics, final price, payment and Digital Content delivery method, and other mandatory pre-contractual information.

5.4. The Contract is concluded when payment for the Order is successfully completed and Acceptance takes place.

5.5. After concluding the Contract, the Seller sends an Order confirmation to the email address supplied by the Buyer.

5.6. The Buyer is responsible for the accuracy of the email address and other information supplied when ordering.

5.7. The final Website function through which the Buyer submits an Order involving payment must unambiguously indicate the obligation to pay.

5.8. A Buyer who is a natural person confirms having the legal capacity required to enter into the Contract. A person ordering on behalf of a legal entity confirms having the necessary authority.

6. PRICE AND PAYMENT

6.1. The Guide's price is stated on the Website and recorded in the Order at the time of Acceptance.

6.2. For Consumers, the final price is shown inclusive of applicable taxes, including VAT, where and to the extent required by applicable law.

6.3. The final amount payable is shown before the Order is submitted and cannot be increased by the Seller after the Contract is concluded, except where expressly permitted by law or separately agreed by the Parties.

6.4. Payment uses the methods and payment service available on the Website when ordering.

6.5. The Buyer's payment obligation is fulfilled when the relevant payment service confirms a successful payment transaction.

6.6. Where an independent payment provider processes the payment, the Seller does not receive or store the Buyer's full bank card details.

7. PROVISION OF DIGITAL CONTENT

7.1. Unless expressly stated otherwise on the Guide page before the Contract is concluded, the Seller provides Digital Content without undue delay after successful payment.

7.2. Digital Content is provided by emailing a download link, an access link or another means stated on the Website to the Buyer.

7.3. The Seller's obligation to provide Digital Content is fulfilled when the Guide or a means of accessing or downloading it becomes available to the Buyer.

7.4. If a download or access link has a limited validity period, the Buyer is informed of it before the Contract is concluded and/or in the Order confirmation.

7.5. If no email arrives, the Buyer should check Spam, Junk and Promotions folders. For a technical issue, the Buyer may contact the Seller at support@stylebyveronica.com.

7.6. Technical assistance with payment, receipt of or access to a purchased Guide is not a personal styling service.

8. CONSUMER'S RIGHT OF WITHDRAWAL

8.1. The Consumer may withdraw from a distance Contract without giving reasons within 14 days of its conclusion, unless the right of withdrawal has been lost in accordance with applicable law.

8.2. For paid Digital Content not supplied on a tangible medium, the Consumer loses the right of withdrawal after provision begins, provided that before provision the Consumer:

gave prior express consent to the provision of Digital Content beginning before the withdrawal period expires;

acknowledged understanding that the right of withdrawal is lost when provision of Digital Content begins;

received the legally required confirmation of the Contract and that consent on a durable medium.

8.3. When choosing immediate provision of the Guide, the Consumer separately consents to provision of Digital Content beginning before the withdrawal period expires and acknowledges the loss of the right of withdrawal.

8.4. Once provision of Digital Content has duly begun and the right of withdrawal has been lost, the price is not refundable because the Buyer changes their mind, no longer needs or does not use the Guide, or considers its styling choices subjectively inconsistent with their taste.

8.5. Loss of the right of withdrawal does not restrict the Consumer's rights if Digital Content is not provided or does not conform to the Contract.

8.6. Where there is a statutory basis for a refund, the Seller refunds the relevant amount without undue delay and no later than 14 days after the refund obligation arises. The same payment method used by the Buyer is used unless the Parties expressly agree otherwise.

9. CONFORMITY OF DIGITAL CONTENT WITH THE CONTRACT

9.1. The Seller must provide Digital Content conforming to the Contract, the Guide description and mandatory requirements of applicable law.

9.2. Actual pages or preview materials expressly presented by the Seller as a sample of the purchased Digital Content before the Contract is concluded are taken into account when assessing conformity.

9.3. Illustrative Materials expressly labelled as examples do not promise that the depicted pages, products or other elements will be included in the purchased Guide.

9.4. If Digital Content is not provided or does not conform to the Contract, the Consumer has the remedies provided by mandatory applicable law.

9.5. The Seller provides Digital Content updates where and to the extent required to maintain conformity with the Contract under applicable law.

10. THIRD-PARTY STORES, PRODUCTS, PRICES AND AVAILABILITY

10.1. The Guide may contain links to products offered by Third-Party Stores.

10.2. Third-Party Stores are independent sellers. The Seller and Author are not sellers of physical goods purchased by the Buyer through external links.

10.3. The contract for the purchase of physical goods is concluded directly between the Buyer and the relevant Third-Party Store under that store's conditions.

10.4. Unless expressly stated otherwise on the Website, the Guide is an editorial selection current at the time of preparation and publication, not a real-time inventory-monitoring system.

10.5. The Seller does not control or guarantee the continued availability after publication of:

a particular product or size;

a price, discount or pricing currency;

delivery conditions or times;

geographical product availability;

exchange or return conditions;

the Third-Party Store's assortment, website or business operations.

10.6. A price change, discontinuation, unavailable size or other assortment change by a Third-Party Store after preparation or publication does not itself entitle the Buyer to require individual replacement sourcing or personal styling services from the Seller or Author and, after loss of the Consumer's right of withdrawal under section 8, does not itself entitle the Buyer to a refund of the Guide's price.

10.7. If an item is unavailable, the Buyer may use alternatives included in the Guide, restock alerts from the Third-Party Store or the Guide's styling principles to independently find a similar item.

10.8. This section does not exclude the Seller's mandatory liability for the conformity of the Digital Content itself with the Contract.

11. GEOGRAPHICAL AVAILABILITY

11.1. If a particular Guide is described as intended for the European market, its selection and links primarily take account of the European Union market.

11.2. Including an international brand in the Guide does not guarantee availability of a particular item in the Buyer's country.

11.3. Automatic redirection to a local website version depends exclusively on the Third-Party Store's technical and commercial decisions.

11.4. If an item is unavailable in the Buyer's region, the Guide may be used as a visual and styling reference for independently finding alternatives.

12. SIZES, FIT AND VISUALISATIONS

12.1. Size charts, fit, proportions and the appearance of physical goods depend on the manufacturer, model, material, individual body characteristics and other factors outside the Seller's control.

12.2. Showing an outfit on a model of a particular size does not guarantee identical fit or visual results for the Buyer.

12.3. Some images in the Guide or on the Website may be created or modified using artificial intelligence technologies.

12.4. AI visualisation conveys a styling idea. Actual fit and proportions may vary depending on body characteristics.

12.5. Before purchasing physical goods, the Buyer should independently review the relevant Third-Party Store's size chart, product characteristics and return conditions.

14. PRIORITY STATUS

14.1. A Buyer who has purchased at least one Guide may be granted Priority Status in accordance with the programme conditions published on the Website at the time of the relevant purchase.

14.2. Unless the conditions of a particular launch state otherwise, valid Priority Status may allow the Buyer to access a new Guide 24 hours before its public launch and enjoy other programme benefits.

14.3. Priority Status is not personal styling support and does not guarantee availability of any item or size or the ability to purchase physical goods from a Third-Party Store.

14.4. Priority Status notices are sent to the email used for the purchase to the extent permitted by applicable electronic commercial communications law. The Buyer may opt out as described in the relevant email.

14.5. The Seller may change Priority Status programme conditions for future launches, provided this does not impair rights already granted and due to be fulfilled for a particular announced launch.

15. INTELLECTUAL PROPERTY AND LICENCE

15.1. Exclusive rights in the Guide and its protected elements belong to the Author, Seller and/or other rightsholders and are used lawfully by the Seller.

15.2. From provision of the Guide, the Buyer receives a limited, non-exclusive, non-transferable right to use the purchased Guide exclusively for personal non-commercial purposes.

15.3. The Buyer may store the Guide on devices under their personal control and use its materials to build their own wardrobe.

15.4. Without the relevant rightsholder's prior written consent, the Buyer must not:

sell, resell, rent out or otherwise commercially distribute the Guide;

transfer the Guide file or access to it to third parties;

publish the Guide in full or substantial parts in public or private groups, channels, forums, cloud storage or other resources;

copy or adapt substantial parts of the Guide to create a competing commercial product;

remove or alter authorship, rightsholder or other rights notices.

15.5. Purchasing the Guide does not transfer exclusive rights in it to the Buyer.

15.6. The restrictions in this section apply to the extent permitted by mandatory applicable law.

16. PERSONAL DATA AND ELECTRONIC COMMUNICATIONS

16.1. The Seller processes the Buyer's personal data under applicable law and the Privacy Policy published on the Website.

16.2. Personal data necessary to conclude and perform the Contract are processed to the extent needed to process the Order, receive payment, provide Digital Content, fulfil accounting and other legal duties and handle Buyer enquiries.

16.3. Marketing messages not necessary for contractual performance are sent to the Buyer on an appropriate legal basis and with an option to opt out of future messages.

17. LIABILITY AND CIRCUMSTANCES BEYOND CONTROL

17.1. The Seller is liable for proper provision of Digital Content and its conformity with the Contract within the limits of applicable law.

17.2. The Seller is not responsible for Third-Party Stores' acts or omissions, including changes to their assortment, prices, sizes, delivery regions, return terms, website operation or other conditions for selling physical goods.

17.3. A subjective mismatch between styling choices and the Buyer's taste is not a lack of conformity if the Guide meets its agreed description, characteristics and mandatory legal requirements.

17.4. The Seller is not responsible for inability to use the Guide caused by the Buyer's lack of a compatible device, software or internet access.

17.5. A Party is excused from liability for non-performance to the extent that performance is prevented by circumstances beyond that Party's reasonable control, subject to applicable legal requirements.

17.6. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by agreement under applicable law.

18. COMPLAINTS AND REMEDIES

18.1. For payment, receipt, technical access or Digital Content conformity issues, the Buyer may contact the Seller at support@stylebyveronica.com or +49 160 2459904.

18.2. A Consumer's written complaint must include information identifying the Order, a description of the circumstances and the remedy requested.

18.3. The Seller acknowledges receipt of a written complaint and responds to the Consumer within 15 days of receipt, unless mandatory applicable law prescribes another period. If the matter cannot be resolved in that time, the Seller explains the delay and specifies a new reasonable deadline.

18.4. If Digital Content does not conform to the Contract, the Consumer may use statutory remedies, including requiring conformity, a proportionate price reduction or termination of the Contract where statutory grounds exist.

18.5. Consumer claims are considered without prejudice to other mandatory rights under applicable law.

19. APPLICABLE LAW AND DISPUTE RESOLUTION

19.1. The Offer, Contract and relations between the Parties are governed by the law of the Republic of Estonia.

19.2. If the Buyer is a Consumer, the choice of Estonian law does not deprive them of protection under mandatory provisions of the law of their habitual residence where those provisions would apply in the absence of a choice of law under applicable private international law.

19.3. The Parties take reasonable steps to resolve a dispute through negotiations and complaint handling before approaching a dispute-resolution body.

19.4. The Consumer may contact a competent alternative consumer dispute-resolution body, including the Estonian Consumer Disputes Committee (Tarbijavaidluste komisjon), if it has jurisdiction over the dispute, and a competent court.

19.5. Jurisdiction over Consumer disputes is determined by mandatory applicable law.

20. DURATION AND AMENDMENT OF THE TERMS

20.1. This Offer applies from its publication on the Website until withdrawn or replaced by a new version.

20.2. The Seller may amend these Terms for future Orders by publishing a new version on the Website.

20.3. The Contract is governed by the version in force at Acceptance. Subsequent publication of a new version does not amend an existing Contract unless mandatory law provides otherwise or the Parties agree separately.

20.4. Provisions that by their nature should survive performance, including intellectual property, liability and dispute-resolution provisions, remain in force after the Guide is provided.

21. FINAL PROVISIONS

21.1. If a provision is held invalid, void or unenforceable, this does not affect the validity of the remaining provisions insofar as the Contract can continue without it.

21.2. A Party's failure or delay in exercising a right does not waive that right.

21.3. Matters not expressly covered by these Terms are governed by applicable law.
